About the Role
Lucidworks is seeking a dynamic, experienced, and enthusiastic Corporate Counsel to join our growing legal team. This high-profile role reports directly to the VP of Legal and requires subject matter expertise in software transactions and a proven ability to quickly identify and synthesize issues, advise on business and legal risks, and facilitate solutions that will enable Lucidworks to continue to grow and scale.
The role requires you to be proactive, engaged, and able to work well cross-functionally with internal clients and external parties. While the role focuses on software licensing deals, you will also manage other legal aspects of Lucidworks’ commercial transactions, including the development and implementation of processes and tools that ensure the legal team remains nimble and responsive.
You are excited about technology — especially digital search and e-commerce — and you pride yourself on coming up with creative solutions to complicated legal problems. You have a keen ability to prioritize and handle multiple transactions at one time and consistently demonstrate curiosity, common sense, and flexibility. You want to expand your skill set to a wide breadth of legal issues including matters not within your immediate responsibility (i.e., compliance, privacy, data security, marketing, etc).
Draft and negotiate a wide range of commercial software agreements on tight deal deadlines, incl agreements for SaaS, PaaS, Managed Services, Professional Services, Vendor, NDAs, etc.
Work closely and strategize with Sales, Product, Engineering, Marketing, and Finance teams to provide product counseling and navigate challenging legal problems.
Create and support continuous improvements of forms, policies, and processes to help streamline, simplify, and automate support.
Understand and stay up to date on applicable laws, regulations, and industry standards and be able to communicate relevant developments to executive leaders.
JD with membership in good standing with at least one state bar (preferably California and/or North Carolina).
6-8+ years of relevant experience, with a mixture of in-house at a technology/software company and with a nationally-recognized law firm.
A demonstrable track record of successfully negotiating and closing SaaS/PaaS transactions
